1Purpose

These Terms of Sale govern the contractual relationship between Maisonnez SASU, operating under the brand name Junyr (hereinafter "Junyr"), and any individual or legal entity (hereinafter "the Customer") subscribing to the services offered on the junyr.app platform. Junyr provides a SaaS (Software as a Service) platform enabling businesses to recruit, train, and manage autonomous AI agents ("Junyrs") to automate their business tasks.

2Pricing and Payment Terms

The Assistant Plan is offered at €99 excl. VAT per month. Payment is made by credit card through our secure payment provider Stripe. Prices are shown in euros excluding taxes, and applicable VAT will be added at checkout. Billing is monthly and charges are automatically processed on the subscription anniversary date. Junyr reserves the right to modify its pricing. Any price changes will be notified to the Customer with 30 days' notice and will apply to the next billing period.

3Subscription and Cancellation

The subscription is for an indefinite period with a minimum commitment of one month. The Customer may cancel their subscription at any time from their personal dashboard. Cancellation takes effect at the end of the current billing period. The Customer retains access to the service until that date. Junyr may suspend or terminate the subscription in case of: - Non-payment after formal notice - Violation of the Terms of Service - Fraudulent use of the service Upon termination, Customer data will be retained for 30 days, during which time it may be exported. After this period, data will be permanently deleted.

4Right of Withdrawal

In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for contracts for the supply of digital content not provided on a tangible medium whose performance has begun with the consumer's prior express consent. By accepting these Terms of Sale and accessing the service immediately, the consumer Customer expressly waives their right of withdrawal. However, Junyr offers a 14-day "Satisfaction Guarantee" from the first subscription. If the service does not meet the Customer's expectations, they may request a full refund within this period by contacting our customer service.

5Service Delivery

Access to the service is provided immediately upon payment validation. The Customer receives their login credentials by email at the address provided during registration. Junyr commits to ensuring 99.5% service availability per month, excluding scheduled maintenance periods. Scheduled maintenance will be notified with a minimum of 48 hours' notice. The service includes: - Unlimited AI agents (Junyrs) - 40 work hours per agent per month - Access to all trainings and workflows - Real-time chat and task management - API integrations included - Priority support

6Warranties

Junyr warrants that the service conforms to its description and normal use. The service is provided "as is". Junyr does not warrant that the service will meet all of the Customer's specific needs or that its use will be uninterrupted or error-free. AI agents are assistance tools and their outputs must be verified by the Customer before use in professional or decision-making contexts. Junyr commits to correcting any proven service malfunction as quickly as possible.

7Limitation of Liability

Junyr's liability is limited to direct and foreseeable damages resulting from a breach of its contractual obligations. Under no circumstances shall Junyr be held liable for: - Indirect damages (loss of revenue, data loss, reputational damage, etc.) - Decisions made by the Customer based on outputs provided by AI agents - Damages resulting from non-compliant use of the service - Service interruptions due to force majeure events Junyr's total liability is capped at the amounts paid by the Customer during the preceding 12 months.

8Personal Data

Junyr collects and processes the Customer's personal data in accordance with the General Data Protection Regulation (GDPR) and the French Data Protection Act. The data collected is necessary for contract performance and service delivery. Data is retained for the duration of the contractual relationship and legal retention periods. The Customer has the right to access, rectify, delete, port, and object to the processing of their data. 9Intellectual Property

Junyr retains all intellectual property rights to the platform, software, algorithms, and AI models. The Customer retains ownership of their data and content provided to train their AI agents. The Customer grants Junyr a non-exclusive license to use their data solely for the purpose of providing the service. This license terminates upon contract termination. Deliverables generated by AI agents belong to the Customer, subject to third-party rights.

10Applicable Law and Jurisdiction

These Terms of Sale are governed by French law. In case of dispute, the parties agree to seek an amicable solution before any legal action. Failing amicable resolution within 30 days, the courts of Draguignan shall have exclusive jurisdiction to hear the dispute.

11Mediation

In accordance with the provisions of the French Consumer Code concerning amicable dispute resolution, the consumer Customer has the right to use the free mediation service offered by Junyr. 12Modification of Terms

Junyr reserves the right to modify these Terms of Sale at any time. The Customer will be informed of any modifications by email and/or notification on the platform with a minimum of 30 days' notice. Continued use of the service after the modifications take effect constitutes acceptance of the new Terms of Sale. In case of disagreement with the modifications, the Customer may cancel their subscription in accordance with the terms set out in Article 3.
